Terms of Service

1. Who you are dealing with

These terms govern your use of services from Harper Labs AI LLC, a Delaware limited liability company ("Harper Labs"). By purchasing a service or using the site, you agree to these terms.

2. Services

We offer one-time engagements (e.g. AI Agent Reliability Audits) and recurring service tiers. The scope of each engagement is defined on the pricing page or in a separate written statement of work. Pricing and scope can change for new engagements; ongoing engagements stay on the terms agreed at signup.

3. Payment

Payments are processed by Stripe. One-time engagements are billed in full at signup. Recurring tiers are billed monthly in advance and renew automatically until canceled. All fees are in USD and exclude applicable taxes.

5. What we deliver

For audit engagements, deliverables are described on the pricing page and produced in 5 business days from the kickoff call. For ongoing subscriptions, deliverables are described in the tier listing and the monthly strategy notes you receive.

Audits are best-effort assessments, not production warranties. We test representative cases across defined failure modes — results are point-in-time and do not guarantee future reliability.

6. Your content + access

You retain ownership of any content, data, prompts, code, or credentials you share with us. You grant us a limited license to use them solely to deliver the engagement. We will not retain access after the engagement ends, and we will not use your data to train any model.

7. Confidentiality

Both parties will keep non-public information shared during the engagement confidential and use it only to deliver the services. This obligation survives termination for 3 years.

8. Warranties & liability

Services are provided "as-is." We disclaim implied warranties to the extent permitted by law. Our aggregate liability is limited to the fees paid in the 3 months prior to the claim. Neither party is liable for indirect or consequential damages.

9. Acceptable use

You won't use the services to violate the law, infringe rights, or generate content that's illegal, harmful, or designed to deceive. We may suspend services for material breach with notice.

10. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of Delaware unless otherwise required by consumer law.

11. Changes

We may revise these terms; the "last updated" date reflects the most recent change. Material changes for active customers are sent by email at least 14 days before they take effect.
